The for-profit transition
PolicyAnnounced OpenAI's restructuring from a nonprofit-controlled capped-profit to a Public Benefit Corporation (PBC), with the nonprofit becoming the OpenAI Foundation. Faced opposition from Elon Musk and Mark Zuckerberg.
The nonprofit becomes the "OpenAI Foundation," which retains control of the for-profit "OpenAI Group PBC" (Public Benefit Corporation). PBCs are legally required to consider stakeholder interests, not just shareholder returns.
The OpenAI Foundation continues to govern OpenAI Group, maintaining a safety mandate.
The transition valued OpenAI at approximately $150B, making the Foundation one of the wealthiest nonprofits in the world.
Elon Musk filed legal motions to block the transition, arguing it violated OpenAI's original nonprofit charter. Mark Zuckerberg publicly opposed it as well.
